PLEASE READ THESE TERMS OF USE (COLLECTIVELY WITH QUIP’S PRIVACY POLICY) FULLY AND CAREFULLY BEFORE USING WWW.QUIPPROS.COM (THE “SITE”) AND THE SERVICES, FEATURES, CONTENT OR PRODUCTS OFFERED BY QUIP NYC INC. D/B/A QUIP AND ITS AFFILIATES INCLUDING DL DENTAL LLC (COLLECTIVELY “WE”, “US”, “OUR,” “QUIP,” OR “QUIP’S”) (TOGETHER WITH THE SITE, THE “SERVICES”). THESE TERMS OF USE TOGETHER WITH THE PRIVACY POLICY FORM A LEGALLY BINDING CONTRACT BETWEEN YOU AND QUIP REGARDING YOUR USE OF THE SERVICES.

BY CLICKING “I ACCEPT,” REGISTERING FOR AN ACCOUNT, OR OTHERWISE USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE FOLLOWING TERMS OF USE, INCLUDING THE QUIP PRIVACY POLICY, ANY OTHER APPLICABLE TERMS PRESENTED TO YOU BY QUIP, AND ANY ADDITIONAL TERMS OR FUTURE MODIFICATIONS (COLLECTIVELY, THE “TERMS”).

 

  1. ACCEPTANCE OF TERMS OF USE

1.1 By registering for and/or using the Services in any manner, including but not limited to visiting or browsing the Site, you agree to these Terms of Use and all other operating rules, policies and procedures that may be published from time to time on the Site by us, each of which is incorporated by reference and each of which may be updated from time to time without notice to you. Certain of the Services may be subject to additional terms and conditions specified by us from time to time; your use of such Services is subject to those additional terms and conditions, which are incorporated into these Terms of Use by this reference. These Terms of Use apply to all users of the Services.

  1. ELIGIBILITY

2.1 You represent and warrant that you are a licensed dental or healthcare professional or a duly authorized agent of a licensed dental or healthcare provider entity or organization. The Services are intended solely for professional and institutional use. We may, in our sole discretion, refuse to offer the Services to any person or entity and change eligibility criteria at any time. The Services are offered only for your professional use, and not for the benefit of any third party or individual consumer.

2.2 We reserve the right to request and verify professional credentials or licenses at any time. Failure to provide valid documentation may result in suspension or termination of access.

2.3 All orders are subject to acceptance by Quip. We reserve the right to reject any order in our sole discretion.




  1. REGISTRATION

3.1 To sign up for the Services, you must register for an account (an “Account”). You must provide accurate and complete information and keep your Account information updated. You are solely responsible for the activity that occurs on your Account, and for keeping your Account password secure. You must notify us immediately of any unauthorized use of your Account. You shall have the ability to delete your Account at any time.

  1. CONTENT DEFINITION

4.1 For purposes of these Terms of Use, the term “Content” includes, without limitation, information, data, text, photographs, videos, audio clips, written posts and comments, software, scripts, graphics, and interactive features generated, provided, or otherwise made accessible on or through the Services. You acknowledge that all Content accessed by you using the Services is at your own risk.

  1. 4.2 If you submit or upload any content through the Services, you grant Quip a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute such content in connection with the Services. You represent and warrant that you have the right to grant this license.NOTICES AND RESTRICTIONS

5.1 The Services may contain Content specifically provided by us or our partners and such Content is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws. You shall abide by and maintain all copyright notices, information, and restrictions contained in any Content accessed through the Services.

5.2 Intellectual Property Ownership: All content and materials provided by Quip through the Services, including trademarks, logos, product images, text, and designs, are the property of Quip or its licensors and are protected by copyright, trademark, and other laws. You may not use such materials except as expressly authorized in writing.

  1. USE LICENSE

6.1 Subject to these Terms of Use, we grant each user of the Services a worldwide, non-exclusive, non-sublicensable and non-transferable license to use (i.e., to download and display locally) Content solely for purposes of using the Services. Commercial resale or redistribution of any products purchased through the Services is expressly prohibited without prior written permission.

  1. AVAILABILITY OF CONTENT

7.1 We do not guarantee that any Content will be made available on the Site or through the Services. We reserve the right to, but do not have any obligation to, remove, edit or modify any Content in our sole discretion, at any time, without notice to you.

  1. RULES OF CONDUCT

8.1 As a condition of use, you promise not to use the Services for any purpose that is prohibited by these Terms of Use. You are responsible for all of your activity in connection with the Services. You shall not: (i) take any action that imposes or may impose an unreasonable or disproportionately large load on our infrastructure; (ii) interfere or attempt to interfere with the proper working of the Services; (iii) bypass any measures we use to prevent or restrict access; (iv) crawl or scrape any part of the Services; (v) upload viruses; or (vi) take any action in violation of applicable law. All orders must be for professional practice use only.

  1. THIRD PARTY SERVICES

9.1 When accessing third party resources linked to via the Site, you do so at your own risk. We are not responsible for third-party content or services.

9.2 Quip may provide links or references to third-party continuing education courses for convenience. Quip does not develop, endorse, or validate the content of any CE program unless explicitly stated. You are responsible for verifying course accreditation and relevance to your professional requirements.

10. SHIPPING

10.1 All purchases are made pursuant to a shipment contract. Risk of loss and title pass to you upon delivery to the carrier. We are not responsible for shipping delays or customs holds.

11. PAYMENTS AND BILLING PAID SERVICES

11.1 The purchase of products through the Site is subject to fees. Payment terms will be presented at checkout. We use third-party payment processors.

12. PAYMENT METHOD

12.1 You authorize us or our processor to charge your payment method for all charges incurred under your Account. You agree to maintain accurate billing information.

13. CURRENT INFORMATION REQUIRED

13.1 You must provide and maintain current, complete, and accurate information for your Billing Account.

14. CHANGE IN AMOUNT AUTHORIZED

14.1 You will receive notice of any charge that differs from your pre-authorized amount (excluding tax changes).

15. REAFFIRMATION OF AUTHORIZATION

15.1 Your continued use reaffirms that we are authorized to charge your payment method.

16. FREE TRIALS AND OTHER PROMOTIONS

16.1 Sampling Program: uip may, at its discretion, offer eligible professionals a limited sample for evaluation or promotional use only. Samples may not be resold or used for any purpose other than internal evaluation. Limit one sample per provider, subject to verification. We reserve the right to cancel or reject any sample request at any time.


17. TERMINATION

17.1 We may terminate your access at any time with or without cause. Any fees paid are non-refundable. The following Sections shall survive termination: 1, 2, 5–6, 8, 10–11, 17–21, 23, 25, 28, 29, and 33.


18. WARRANTY DISCLAIMER

18.1 THE SERVICES AND CONTENT ARE PROVIDED “AS IS”, “AS AVAILABLE” AND WITHOUT WARRANTY OF ANY KIND.

18.2 No Medical Advice: The Services and any content provided are for informational purposes only and do not constitute medical or dental advice. You are solely responsible for the clinical decisions you make.19. INDEMNIFICATION

19.1 You agree to indemnify and hold harmless Quip and its affiliates from all claims arising from your use of the Services or breach of these Terms.

20. LIMITATION OF LIABILITY

20.1 IN NO EVENT SHALL OUR LIABILITY EXCEED THE GREATER OF FEES PAID IN THE LAST 3 MONTHS OR $500.

21. GOVERNING LAW AND JURISDICTION

21.1 These Terms are governed by New York law. All disputes will be resolved in courts of New York County, NY, unless arbitration applies.

21.2 The Services are intended for use within the United States. We make no representations that the Services are appropriate or available for use in other jurisdictions.


22. MODIFICATION

22.1 We may modify these Terms at any time. Continued use of the Services indicates acceptance.

23. ENTIRE AGREEMENT AND SEVERABILITY

23.1 These Terms constitute the entire agreement. If any provision is deemed unenforceable, the remainder shall remain in effect.

24. FORCE MAJEURE

24.1 We are not liable for failures due to causes beyond our control.

25. ASSIGNMENT

25.1 You may not assign these Terms without our prior written consent.

26. COUPON CODES

26.1 Coupon codes have no cash value and are limited to one per order. Other restrictions may apply.

27. AGENCY

27.1 No agency or employment relationship is created.

28. AMBASSADOR PROGRAM TERMS AND CONDITIONS

28.1 Participation in the Ambassador Program is subject to separate terms. Ambassadors may access limited-use assets and agree to comply with all licensing requirements. Quip may modify or cancel the program at any time.

29. NOTICES

29.1 Notices must be sent in writing to help@getquip.com or to: Quip NYC Inc., 45 Main St, Suite 630, Brooklyn, NY 11201.

30. NO WAIVER

30.1 Failure to enforce any part of these Terms is not a waiver.

31. HEADINGS

31.1 Headings are for convenience only.

33. MANDATORY ARBITRATION AND CLASS ACTION WAIVER

33.1 All disputes are subject to binding arbitration administered by JAMS. You waive your right to sue in court or participate in class actions. You may opt out within 30 days of first use. Exceptions apply for IP and small claims matters.

34. NO SUPPORT

34.1 We are under no obligation to provide support.

35 EXPORT CONTROLS

35.1 You agree to comply with all applicable export laws and regulations. You shall not use or export the Services or products purchased through the Site in violation of U.S. law.

36. PRODUCT DISCLAIMER

36.1 Quip products are intended for use in accordance with their labeling and professional guidelines. Quip makes no representations or warranties regarding clinical outcomes. You are solely responsible for determining the suitability of any product for your professional needs or patient care.
